1.1 The terms and conditions apply to all offers from and agreements with Mancloud BV, notwithstanding any contrary stipulations on documents of the client or customer. By placing an order, the customer acknowledges to accept the terms and conditions of Mancloud BV.


1.1. De algemene voorwaarden gelden op alle aanbiedingen van en overeenkomsten met Mancloud BV, niettegenstaande strijdige bepalingen vermeld op documenten van de opdrachtgever of klant. Door het plaatsen van een bestelling erkent de klant de algemene voorwaarden van Mancloud BV te aanvaarden.


1.1. Les conditions générales s'appliquent à toutes sur les offres et les accords avec Mancloud BV, nonobstant toute stipulation contraire sur les documents du client ou du bénéficiaire. En passant une commande, le client reconnaît accepter les termes et conditions de Mancloud BV.

2.1. All offers and quotations by Mancloud BV are non-binding until accepted by the
customer. The agreement is concluded when the customer signs the offer for approval unchanged within 30 days and returns it to Mancloud BV. Each order or order confirmation by the customer, is binding. The agreement replaces all previously concluded and/or oral agreements. The order is executed as soon as the advance payment has been received.


2.1. Alle aanbiedingen en offertes van Mancloud BV zijn vrijblijvend tot op het ogenblik van de aanvaarding door de klant. De overeenkomst komt tot stand wanneer de klant de offerte ongewijzigd binnen de 30 dagen voor akkoord ondertekent en terugzendt aan Mancloud BV. Elke bestelling of orderbevestiging door de klant, verbindt de klant. De overeenkomst vervangt alle eerder afgesloten en/of mondelinge akkoorden. De bestelling wordt uitgevoerd vanaf ontvangst van het voorschot.


2.1. Toutes les offres et tous les devis de Mancloud BV sont sans obligation jusqu'à leur acceptation par le client. Le contrat est conclu lorsque le client signe l'offre pour approbation dans un délai de 30 jours et la renvoie à Mancloud BV sans modification. Chaque commande ou confirmation de commande par le client, engage le client. L'accord remplace tous les accords conclus et/ou les accords oraux antérieurs. La commande est exécutée dès la réception de l'acompte.

3.1. Cancellation of an order by the customer is possible as long as Mancloud BV has not yet started its work and upon payment of a compensation equal to the cost of the first year agreed in the offer.

4.1. The date of delivery is only given as an indication and does not bind Mancloud BV. Delays in delivery do not entitle the customer to compensation or price reduction, nor to a withdrawal from the agreement.
4.2. In case the parties have explicitly agreed on a binding delivery term, this term shall be extended in case the customer fails to provide information, documents, originals, images (in time) and to accept the corrected proofs (in time), or in case the customer places additional orders.


4.1. De datum van levering wordt slechts als aanwijzing opgegeven en bindt Mancloud BV niet. Vertraging in de levering geeft de klant geen recht op schadevergoeding of prijsvermindering noch op ontbinding van de overeenkomst.

4.2. Indien de partijen uitdrukkelijk een bindende leveringstermijn zijn overeengekomen, wordt deze termijn verlengd indien de klant in gebreke blijft om informatie, documenten, originelen, beelden (tijdig) over te maken en de verbeterde proeven (tijdig) te aanvaarden, of indien de klant bijkomende bestellingen plaatst.


4.1. La date de livraison n'est donnée qu'à titre indicatif et ne lie pas Mancloud BV. Les retards de livraison ne donnent pas droit à une compensation ou à une réduction de prix, ni à la dénonciation du contrat.

4.2. Si les parties ont explicitement convenu d'un délai de livraison impératif, ce délai sera prolongé si le client ne remet pas les informations, documents, originaux, images (en temps voulu) et n'accepte pas les épreuves corrigées (en temps voulu), ou si le client passe des commandes supplémentaires.

5.1. At the start of the project, the customer is required to pay a deposit of 40% of the setup amount, with a minimum of €1000.

5.2. All invoices are due on their expiry date through bank transfer to Mancloud BV's account number. Each payment is charged to the oldest due invoice, and first to the due interests and costs. Granted discounts expire in case of non-compliance with the general terms and conditions of sale.

5.3. Should the customer fail to pay within 8d days after the receipt of a reminder by Mancloud BV, the customer is due to pay to Mancloud BV a default interest of 15% per year, and a fixed compensation of 10% of the invoice amount with a minimum of 125 EUR, as from the date of reminder until the moment of full payment.

Furthermore, Mancloud BV reserves the right to suspend further execution of its commitments until the customer has paid the overdue invoices. Any delay in the payment by the customer makes all outstanding amounts claimable at once.

5.4 Consultancy or support, can be scheduled after full payment of the outstanding invoice amount.


5.1. Bij aanvang van het project dient de klant een voorschot te betalen van 40 % van het setup bedrag, met een minimum van 1000 EUR.

5.2. Alle facturen zijn betaalbaar op hun vervaldag door overschrijving op het rekeningnummer van Mancloud BV. Elke betaling wordt aangerekend op de oudste vervallen factuur, en eerst op de verschuldigde intresten en kosten. Toegestane kortingen vervallen bij het niet respecteren van de algemene verkoopsvoorwaarden.

5.3. Indien de klant niet overgaat tot betaling binnen 8d dagen na ontvangst van een aanmaning hiertoe door Mancloud BV, is de klant aan Mancloud BV een nalatigheidsintrest verschuldigd van 15% per jaar, en een forfaitaire schadevergoeding van 10% van het factuurbedrag met een minimum van 125 EUR, vanaf de datum van aanmaning tot aan de volledige betaling.

Bovendien behoudt Mancloud BV zich het recht voor om de verdere uitvoering van haar verbintenissen op te schorten totdat de klant de vervallen facturen heeft betaald. Elke vertraging in de betaling door de klant maakt alle verschuldigde sommen ineens opeisbaar.

5.4 Consultancy of support, kan worden ingepland na volledige betaling van het openstaande factuurbedrag.

En outre, Mancloud BV se réserve le droit de suspendre l'exécution de ses engagements jusqu'à ce que le client ait payé les factures en souffrance. 6.1. Any complaint must be submitted to Mancloud BV by registered letter within a period of 14 days. For complaints or disputes concerning the services provided, the term shall commence the day after delivery. As far as the invoice is concerned, the term starts on the invoice date. In the absence of timely protest, the services/invoices are definitively accepted and payment is due.


6.1. Elk protest dient per gemotiveerde aangetekende brief aan Macloud BV te worden bezorgd binnen een termijn van 14 dagen. Voor klachten of betwistingen met betrekking tot de geleverde diensten vangt de termijn aan daags na levering. Met betrekking tot de factuur begint de termijn op de factuurdatum. Bij gebreke aan tijdig protest zijn de diensten/facturen definitief aanvaard en is betaling verschuldigd.


6.1. Toute protestation doit être soumise à Macloud BV par lettre motivée et recommandée dans un délai de 14 jours. Pour les plaintes ou les litiges concernant les services fournis, le délai commence à partir du jour suivant la livraison. En ce qui concerne la facture, le délai commence à partir de la date de la facture. En l'absence de contestation dans les délais, les services/factures sont définitivement acceptés et le paiement est dû.

7.1. Mancloud BV engages to perform all services to be provided with the utmost care. Mancloud BV is not liable for errors in performance due to insufficient or wrong input by the customer.

7.2. Mancloud BV cannot be held responsible for any errors (even major ones) made by it or its employees, except in case of fraud. Mancloud BV, whatever the cause, the form or the object of the claim whereby liability is invoked, cannot under any circumstances be held liable for any consequential damage such as e.g. loss of expected profit, drop in sales, increased operational costs, loss of clientele, which the customer or third parties may suffer as a result of any fault or negligence on the part of Mancloud BV or an appointee.

7.3. Mancloud BV's liability regarding services provided to the customer is in any case limited to either the refund of the price paid by the customer, or the re-performance of the services, at Mancloud BV's discretion. Mancloud BV's total liability shall never exceed the price paid by the customer to Mancloud BV for the services which gave rise to the claim.

7.4. As far as services originating from third party suppliers are concerned, Mancloud BV does not accept any liability above or other than the liability which the third party suppliers are prepared to accept for their products or services.

7.5 Mancloud BV is not responsible for the content on the website(s) of its customer(s).


7.1. Mancloud BV verbindt zich ertoe alle te verstrekken diensten met zorg uit te voeren. Alle prestaties van Mancloud BV zijn middelenverbintenissen. Mancloud BV is niet aansprakelijk voor fouten in de uitvoering te wijten aan onvoldoende of verkeerde input door de klant.

7.2. Mancloud BV kan niet aansprakelijk worden gesteld voor enige fout (zelfs een grove fout) van haar of haar aangestelden, behoudens ingeval van bedrog. Mancloud BV zal, wat ook de oorzaak, de vorm of het voorwerp is van de vordering waarbij de aansprakelijkheid wordt ingeroepen, in geen geval aansprakelijk kunnen worden gesteld voor enige gevolgschade zoals bijvoorbeeld verlies van verwachte winst, daling van omzet, verhoogde operationele kosten, verlies van cliënteel, welke de klant of derden zouden lijden ten gevolge van enige fout of nalatigheid van Mancloud BV of een aangestelde.

7.3. De aansprakelijkheid van Mancloud BV met betrekking tot aan de klant geleverde diensten is in elk geval beperkt tot ofwel de terugbetaling van de door de klant betaalde prijs, ofwel het opnieuw uitvoeren van de diensten, naar keuze van Mancloud BV. De totale aansprakelijkheid van Mancloud BV, zal nooit meer bedragen dan de prijs die door de klant aan Mancloud BV werd betaald voor de diensten die aanleiding gaven tot het schadegeval.

7.4. Wat de diensten afkomstig van derde leveranciers betreft, aanvaardt Mancloud BV geen enkele aansprakelijkheid boven of anders dan de aansprakelijkheid die de derde leveranciers bereid zijn te aanvaarden voor hun producten of diensten.

7.5 Mancloud BV is niet aansprakelijk voor de inhoud op de website(s) van haar opdrachtgever(s).


7.1. Mancloud BV s'engage à exécuter tous les services à fournir avec diligence. Toutes les prestations de Mancloud BV sont des engagements de moyens. Mancloud BV n'est pas responsable des erreurs de performance dues à une saisie insuffisante ou erronée par le client.

7.2. Mancloud BV ne peut être tenu responsable de toute faute ( y compris une faute flagrante) commise par elle ou ses mandataires, sauf en cas de fraude. Mancloud BV, quelle que soit la cause, la forme ou l'objet de l'action en responsabilité, ne peut en aucun cas être tenue responsable des dommages indirects tels que, par exemple, la perte de bénéfices escomptés, la diminution du chiffre d'affaires, l'augmentation des coûts opérationnels, la perte de clientèle, que le client ou des tiers pourraient subir à la suite d'une faute ou d'une négligence de la part de Mancloud BV ou d'un mandataire.

7.3. La responsabilité de Mancloud BV concernant les services fournis au client est dans tous les cas limitée soit au remboursement du prix payé par le client, soit à la ré-exécution des services, à la discrétion de Mancloud BV. La responsabilité totale de Mancloud BV ne dépassera jamais le prix payé par le client à Mancloud BV pour les services qui ont donné lieu à la plainte.

7.4. En ce qui concerne les services provenant de fournisseurs tiers, Mancloud BV n'accepte aucune responsabilité supérieure ou autre que la responsabilité que les fournisseurs tiers sont prêts à accepter pour leurs produits ou services

7.5 Mancloud BV n'est pas responsable du contenu du (des) site(s) web de son (ses) client(s).

8.1. Without prejudice to article 8, the following applies with regard to SAAS: the flawless operation of a computer configuration (the whole of hardware and software) can never be fully guaranteed, both due to external factors (power failure or malfunction, lightning strike, etc.) and due to factors specific to the computer configuration (defects, network failures, undiscovered errors in system and application software, etc.), so that unexpected loss of (even all) programmes and/or data can occur, among other things. The customer undertakes to install appropriate mechanisms for the security, preservation and restoration of data.


8.1. Onverminderd artikel 8, geldt inzake SAAS het volgende: de feilloze werking van een computerconfiguratie (het geheel van hardware en software) kan nooit volledig worden gegarandeerd, dit zowel wegens externe factoren (stroomuitval of –storing, blikseminslag,…) als wegens factoren eigen aan de computerconfiguratie (defecten, netwerkstoringen, onontdekte fouten in systeem- en toepassingssoftware,…), zodat o.m. onverwacht verlies van (zelfs alle) programma’s en/of gegevens kan optreden. De klant verbindt zich ertoe aangepaste mechanismen voor de beveiliging, de bewaring en de herstelling van gegevens te installeren.


8.1. Sans préjudice de l'article 8, ce qui suit s'applique en matière de SAAS : le fonctionnement sans faille d'une configuration informatique (l'ensemble du matériel et des logiciels) ne peut jamais être totalement garanti, tant en raison de facteurs externes (panne ou dysfonctionnement électrique, foudre, etc.) que de facteurs propres à la configuration informatique (défauts, défaillances du réseau, erreurs non découvertes dans le système et les logiciels d'application, etc. Le client s'engage à mettre en place des mécanismes appropriés pour la sécurité, la conservation et la restauration des données.


Article 8. Software Liability

9.1. Intellectual Property Rights means: all intellectual, industrial and other property rights (whether registered or not), including but not limited to copyrights, neighbouring rights, brands, trade names, logos, models or patents, applications for patents, domain names, know-how, as well as rights to databases, computer programs and semi-conductors.

9.2. The Intellectual Property Rights connected with the Mancloud platform belong exclusively to Mancloud BV. Subject to payment of an annual license fee, determined in the offer of Mancloud BV, and under the suspensive condition of full payment of this fee, the customer obtains a non-exclusive, non-transferable license to use this software. The customer is forbidden to grant sublicences to third parties or to make the software available to third parties in any way, to communicate it, to use it for the benefit of third parties or to commercialise it.

9.3. The customer commits to respect the Intellectual Property Rights of Mancloud BV at all times and to make reasonable efforts to protect those rights. Customer will immediately notify Mancloud BV of any infringement by third parties of the Intellectual Property Rights of Mancloud BV of which it becomes aware.


9.1. Onder Intellectuele Eigendomsrechten wordt verstaan: alle intellectuele, industriële en andere eigendomsrechten (ongeacht of deze geregistreerd zijn of niet), met inbegrip van maar niet beperkt tot auteursrechten, naburige rechten, merken, handelsnamen, logo’s, modellen of octrooien, aanvragen tot octrooien, domeinnamen, know-how, alsmede rechten op databanken, computerprogramma’s en halfgeleiders.

9.4. De Intellectuele Eigendomsrechten verbonden aan het Mancloud platform behoren exclusief toe aan Mancloud BV. Mits betaling van een jaarlijkse licentievergoeding, bepaald in de offerte van Mancloud BV, en onder opschortende voorwaarde van de volledige betaling van deze vergoeding, verkrijgt de klant een niet exclusieve, niet-overdraagbare gebruikslicentie op deze software. Het is de klant verboden om sublicenties aan derden toe te kennen, dan wel de software op enigerlei wijze aan derden ter beschikking te stellen, mee te delen, te gebruiken ten behoeve van derden of te commercialiseren.

9.5. De klant zal de Intellectuele Eigendomsrechten van Mancloud BV te allen tijde respecteren en redelijke inspanningen leveren om die rechten te beschermen. De klant zal Mancloud BV onmiddellijk in kennis stellen van iedere inbreuk door derden op de Intellectuele Eigendomsrechten van Mancloud BV waarvan hij kennis neemt.

10.1. Voor de hosting werkt Mancloud BV samen met een gespecialiseerde hostingpartner. Een beschrijving van de hosting diensten en de aansprakelijkheid van deze partner is opgenomen in de Service Level Agreement (SLA) van deze hostingpartner. Deze SLA kan worden aangepast of gewijzigd door de hostingpartner. Op eerste verzoek van de klant bezorgt Mancloud BV de klant een kopie van de actuele versie van de SLA.

10.2. De hostingdiensten worden door Mancloud BV aan de klant jaarlijks verstrekt, mits betaling door de klant van de verschuldigde vergoeding. Indien de klant deze dienst wenst op te zeggen, dient hij dit schriftelijk te melden ten laatste op de vervaldatum van de factuur. Bij laattijdige opzeg zal de klant de vergoeding voor het volgende jaar verschuldigd zijn.


10.1. Pour les services d'hébergement, Mancloud BV collabore avec un partenaire d'hébergement spécialisé. Une description des services d'hébergement et de la responsabilité de ce partenaire est incluse dans l'accord de niveau de service (SLA) de ce partenaire d'hébergement. Ce SLA peut être amendé ou modifié par le partenaire d'hébergement. À la première demande du client, Mancloud BV fournira au client une copie de la version actuelle du SLA.

10.2. Les services d'hébergement sont fournis par Mancloud BV au client sur une base annuelle, sous réserve du paiement par le client de la redevance due. Si le client souhaite mettre fin à ce service, il doit en informer Mancloud BV par écrit, au plus tard à la date d'échéance de la facture. En cas d'annulation tardive, le client est redevable de la rémunération pour l'année suivante.

11.1. Mancloud BV is responsible as agent for the management of the domain name as far as the customer pays to Mancloud BV the due annual fee for this. This management agreement is of indefinite duration and can be cancelled by registered letter at the latest one month before the automatic renewal of the annual license agreement.


11.1. Mancloud BV staat als agent in voor het beheer van de domeinnaam voor zover de klant hiertoe de verschuldigde jaarlijkse vergoeding betaalt aan Mancloud BV. Deze beheersovereenkomst is van onbepaalde duur en kan per aangetekende brief worden opgezegd uiterlijk één maand voor de automatische verlenging van de jaarlijkse licentieovereenkomst.


11.1. Mancloud BV est responsable, en tant que mandataire, de la gestion du nom de domaine pour autant que le client paie à Mancloud BV les frais annuels dus à cet effet. Cette convention de gestion est à durée indéterminée et peut être résiliée par lettre recommandée au plus tard un mois avant le renouvellement automatique du contrat de licence annuel.

12.1. The lack of payment of one or more invoices on their due date will always be considered a serious contractual default.

12.2. Upon termination of the agreement, the customer will pay for all services provided by Mancloud BV, as well as any costs incurred by Mancloud BV as a result of this termination, increased by a lump sum compensation of 30% of the amount Mancloud BV could still have invoiced to the customer if the agreement had been fully executed. Any paid subscription remains acquired for Mancloud BV in any case. Furthermore, Mancloud BV retains the right to claim a higher compensation if it contains evidence that its actual damage suffered is greater than the flat-rate damage as stipulated above.

12.3. Nevertheless, each party accepts to grant the other party a reasonable period of time to remedy its possible shortcomings, and to always first seek for an amicable settlement.


12.1. De niet-betaling van een of meerdere facturen op hun vervaldag, zal altijd worden beschouwd als een zware contractuele wanprestatie.

12.2. Bij beëindiging van de overeenkomst zal de klant alle door Mancloud BV verleende diensten betalen, alsook de eventuele kosten die Mancloud BV moet maken als gevolg van deze beëindiging, vermeerderd met een forfaitaire schadevergoeding van 30% van het bedrag dat Mancloud BV nog had kunnen factureren aan de klant indien de overeenkomst volledig zou zijn uitgevoerd. Het eventueel betaald abonnement blijft hoe dan ook verworven voor Mancloud BV. Bovendien behoudt Mancloud BV het recht om een hogere schadevergoeding te vorderen indien zij bewijs bevat dat haar werkelijk geleden schade groter is dan de forfaitaire schade zoals hierboven bepaald.

12.3. Niettemin aanvaardt elke partij om aan de andere partij een redelijke termijn toe te kennen om haar eventuele tekortkomingen te verhelpen, en om steeds eerst te zoeken naar een minnelijke regeling.

En cas de résiliation du contrat, le client devra payer tous les services fournis par Mancloud BV, ainsi que les frais engagés par Mancloud BV en raison de cette résiliation, majorés d'une indemnité forfaitaire de 30% du montant que Mancloud BV aurait encore pu facturer au client si le contrat avait été pleinement exécuté. Tout abonnement payant reste en tout état de cause acquis à Mancloud BV. En outre, Mancloud BV conserve le droit de réclamer une indemnisation plus élevée si elle apporte la preuve que son préjudice réel subi est supérieur au préjudice forfaitaire tel que stipulé ci-dessus.

12.3. Néanmoins, chaque partie accepte d'accorder à l'autre un délai raisonnable pour remédier à d'éventuels manquements, et de toujours rechercher d'abord un règlement à l'amiable.

13.1. Both parties undertake to keep commercial and technical information and trade secrets they learn from the other party, even after the termination of the agreement, confidential and to use them only for the execution of the agreement.

14.1. Mancloud BV has the capacity of processor. The customer has the capacity of data controller in the sense of the Personal Data Processing Act. The customer declares to fully comply with the obligations resting on the controller, included in this law.

14.2. Within the scope of services provided to the customer, Mancloud BV processes personal data of the contact persons specified by the customer. The contact details of these persons are processed for the purpose of customer and reservation management. The contact persons have a right of access and correction regarding their data.
